Limitation of Liability

Scope of Liability

Blackwood’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid for the product giving rise to the claim.

Exclusion of Consequential Damages

Blackwood is not responsible for consequential, incidental, or indirect damages such as loss of profits, delays, or project costs.

Dealer Responsibility

Dealers are responsible for verifying all orders, measurements, and job-site conditions prior to purchase.

Indemnification

Dealer agrees to indemnify and hold harmless Blackwood from any third-party claims arising out of dealer misuse of products, marketing, or installations.

Force Majeure

Definition of Events

Neither party shall be liable for delays or non-performance caused by events beyond reasonable control including natural disasters, pandemics, acts of war, labor strikes, power failures, or transportation disruptions.

Notice of Delay

The affected party shall notify the other as soon as practicable, providing an updated estimate for performance or delivery.

Suspension of Obligations

During such events, contractual obligations are suspended without penalty until performance becomes possible.

Governing Law & Jurisdiction

Applicable Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of GA.

Venue

Any disputes shall be resolved exclusively in the courts of [insert county, state].

Severability
